YOUR USE OF THE WEBSITE AND THE CONTENT IS AT YOUR SOLE RISK. THE WEBSITE AND THE CONTENT ARE PROVIDED ON AN “AS IS” BASIS. WE DISCLAIM ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES OF ANY KIND, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, QUALITY, AVAILABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. WE MAKE NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES AS TO THE USEFULNESS, QUALITY, SUITABILITY, ACCURACY, AVAILABILITY, OR COMPLETENESS OF THE WEBSITE OR THE CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ZUMIGO, ITS AFFILIATES, OR ANY OF ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SUBCONTRACTORS, AGENTS, SUCCESSORS, AND ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, OR FOR ANY LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY IN TORT, IN LAW OR EQUITY, OR UNDER ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ZUMIGO HAS BEEN ADVISED OF THE POSSIBILITY), ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE OR ANY CONTENT, OR FROM ANY DECISION OR ACTION TAKEN IN RELIANCE ON THE WEBSITE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IF, NOTWITHSTANDING THE FOREGOING, ZUMIGO IS DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE TOTAL AGGREGATE LIABILITY OF ZUMIGO, ITS AFFILIATES, AND ALL OF ITS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SUBCONTRACTORS, AGENTS, SUCCESSORS, AND ASSIGNS ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE WILL NOT EXCEED US $100.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL, AND REQUIRES INDIVIDUAL ARBITRATION AND A WAIVER OF CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS, EXCEPT WHERE PROHIBITED BY LAW.
a. Agreement to Arbitrate. You and Zumigo agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Website, or your access to or use of the Website, including any claim relating to Zumigo’s use of cookies, pixels, tags, session replay, or other tracking technology, and including claims under wiretapping, eavesdropping, or invasion-of-privacy laws (such as the California Invasion of Privacy Act), whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (each a “Dispute”), will be resolved by binding individual arbitration rather than in court, except as set out in subsection (f).
b. CLASS ACTION WAIVER. YOU AND ZUMIGO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class, representative, or private-attorney-general proceeding. If this class-action waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief (and only that claim or request) will be severed and brought in a court of competent jurisdiction, and all other claims will proceed in arbitration.
c. Informal Resolution First. Before initiating arbitration, the complaining party must send the other a written Notice of Dispute, on an individualized basis, that includes (1) your name; (2) the email address(es) associated with your relationship with Zumigo; (3) a description of the Dispute; and (4) the relief sought. Notice to Zumigo must be sent to privacy@zumigo.com and to the address located at 1187 Starling Ridge Court, San Jose, California 95120. The parties will then attempt in good faith to resolve the Dispute for 30 days, including by meeting and conferring individually by telephone or videoconference; if a party is represented by counsel, that party’s counsel may participate.
d. Arbitration. Any unresolved controversy or claim arising out of or relating to this Agreement, except as otherwise provided in this Agreement, shall be submitted to arbitration by one arbitrator mutually agreed upon by the parties, and if no agreement can be reached within thirty (30) days after names of potential arbitrators have been proposed by the American Arbitration Association (the “AAA”), then by one arbitrator having reasonable experience in corporate finance transactions of the type provided for in this Agreement and who is chosen by the AAA. The arbitration shall take place in Santa Clara County, CA, in accordance with the AAA rules then in effect, and judgment upon any award rendered in such arbitration will be binding and may be entered in any court having jurisdiction thereof.
e. 30-Day Right to Opt Out. You may opt out of this Section 9 by sending written notice, signed by you, within 30 days of your first use of the Website, to privacy@zumigo.com. Your notice must include your name and a clear statement that you want to opt out. If you opt out, neither the arbitration agreement nor the class-action waiver applies to you, and Zumigo also will not be bound as to you; you will remain bound by all other provisions of these Terms of Use.
f. Exceptions. Notwithstanding the foregoing, either party may (i) bring an individual claim in small-claims court, and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property or unauthorized access to the Website.
g. Claim-Period Limitation. To the extent permitted by law, any claim by you or Zumigo against the other must be raised in a Notice of Dispute within two years after the claim arises; otherwise, the claim is permanently barred.
h. Severability and Survival. If any part of this Section 9 (other than the class-action waiver, which is governed by subsection (b)) is found unenforceable, that part will be severed and the remainder enforced. This Section survives termination of these Terms of Use.
The Terms of Use constitute the entire agreement between you and us relating to your use of the Website and the Content. We reserve the right to investigate actual or potential violations of the Terms of Use and to take any action we deem appropriate, including, but not limited to, reporting any suspected unlawful activity to law enforcement officials, regulators or other third parties and disclosing any information we deem necessary or appropriate relating to user profiles, email addresses, usage histories, posted materials and IP addresses. We reserve the right to seek any and all remedies available at law and in equity for violations of the Terms of Use. The Terms of Use will be governed by the laws of the State of California without giving effect to its laws, rules or principles regarding choice or conflict of laws. Any express waiver or failure to exercise promptly any right under the Terms of Use will not create a continuing waiver or any expectation of non-enforcement. If any provision of the Terms of Use is held invalid by any law or regulation of any government, or by any court or arbitrator, such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms of Use will remain in full force and effect.
